1. About these Terms
These Terms of Service (“Terms”) are an agreement between you and Victor International Vantage LLC, doing business as VIV Digital (“VIV Digital,” “we,” “us,” or “our”), which operates NJ Business Directory at https://njbusinessdirectory.org (the “Site”).
By using the Site, creating an account, submitting a listing, or buying a subscription, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
If you use the Site on behalf of a business, you confirm that you are authorized to accept these Terms for that business, and “you” includes the business.

2. Who can use the Site
You must be at least 18 years old to use the Site or create an account.
3. Accounts
- Give accurate, current information and keep it up to date.
- Keep your password secure. You are responsible for activity under your account.
- Tell us right away at [email protected] if you think your account has been used without permission.
4. Listings
Free listings
- Free listings are for businesses located in or serving customers from a physical location in New Jersey only.
- All free listings are reviewed before and after publication. We may edit (for example, for formatting, length, category, or accuracy), reject, or remove any free listing at our discretion, including listings that appear inaccurate, duplicate, inactive, or in violation of these Terms.
- All listings, including free, paid, and unclaimed listings, keep and show the link in their Website field. Free listings may not include links in the listing description, and we may remove any such links.
- A free listing does not guarantee placement, ranking, traffic, or results.
Paid listings are described in Section 5.
Your responsibility for listing content. You are responsible for everything you submit, including text, photos, logos, and links. You confirm that the content is accurate, that you have the right to submit it (including any copyright, trademark, and publicity rights), and that it does not violate the law or these Terms.
License you give us. You keep ownership of your content. You give VIV Digital a non-exclusive, royalty-free, worldwide license to host, store, display, reproduce, format, edit for length and style, and distribute your listing content on the Site and in promoting the Site (for example, in social media posts or search results featuring the directory), for as long as the content is on the Site and for a reasonable time afterward to remove it from backups and caches.
Private address. If you give us a private street address for verification, we will not publish it. Only the public address or service area you choose to display will appear.
5. Paid subscriptions and automatic renewal
Plans. We offer these optional paid listing upgrades:

Prices are in U.S. dollars and do not include any applicable taxes. Plan features are described on the Site at the time of purchase. No sales tax is currently charged on listing subscriptions. Current plans and pricing: https://njbusinessdirectory.org/pricing-plans/
AUTOMATIC RENEWAL. Paid subscriptions renew automatically every month at the then-current price, and we will charge your saved payment method (card, Google Pay, or Apple Pay, processed by Stripe) at the start of each monthly billing period until you cancel. By subscribing, you authorize these recurring charges.
Price changes. If we change the price of your plan, we will email you at least 30 days before the new price applies to you, so you have time to cancel.
Failed payments. If a renewal payment fails, Stripe may retry it, and we may downgrade your listing to a free listing or pause paid features until payment succeeds.
6. Cancellation
- You can cancel at any time, yourself, in My Account on the Site. You do not need to call or email us. You can also email [email protected] for help.
- Cancellation takes effect at the end of your current billing period. Your paid features stay active until then.
- After you cancel, you will not be charged again.
- When the paid period ends, your listing reverts to a free listing: featured status ends, links in the description are removed, and the Website link stays. If the listing no longer qualifies under Section 4, it is moved to review or removed.
- We will send a confirmation email when you cancel.
7. Refunds
- We do not give refunds or credits for partial months, unused time, or a period in which you did not use your listing.
- We will refund billing errors, including duplicate charges and charges made after a cancellation took effect. Email [email protected] within 60 days of the charge with the date and amount.
- Nothing in this section limits any refund right you have under applicable law.
8. Sponsored listings and disclosure
Paid listings, including listings provided as part of a VIV Digital client service package, are advertising. They are labeled “Sponsored” on the Site, and links in them use the rel=”sponsored” attribute, as search engines recommend for paid links.
No ranking or results guarantee. A paid plan or VIV Digital client package does not guarantee any particular position in the directory, in search engines (such as Google), or any amount of traffic, leads, or sales. Search engines decide independently how to treat links and pages.
9. Claiming a listing
If your business is already listed and you want to manage it:
- Use the “claim” option on the listing or email [email protected].
- We will ask you to verify that you are authorized to represent the business, for example through an email address at the business’s website domain, a call or code to the listed business phone, or business documents.
- We may refuse a claim we cannot verify, and we may transfer a listing to a different person if they show a better right to manage it.
10. Disputing or correcting a listing
If you believe a listing is inaccurate, impersonates your business, infringes your rights, or should be removed, email [email protected] with the listing URL and an explanation. We will review it and may edit, suspend, or remove the listing while we look into it. For personal home address or phone removal by New Jersey judges, prosecutors, law enforcement officers, and their families, see the Daniel’s Law section of our Privacy Policy; those requests are handled within 10 business days.
Copyright complaints. If you believe content on the Site infringes your copyright, email [email protected] with: your contact information; a description of the work; the URL of the infringing content; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and you are the owner or authorized to act for the owner; and your physical or electronic signature. Copyright takedown notices should be sent to [email protected].
11. Prohibited content and conduct
You may not submit content or use the Site to:
- post false, misleading, or fraudulent business information, or impersonate another business or person;
- list a business that is not in New Jersey (for free listings), is not real, or that you are not authorized to represent;
- post content that is illegal, defamatory, harassing, hateful, sexually explicit, or violent, or that promotes illegal goods or services;
- post content that infringes anyone’s copyright, trademark, privacy, or publicity rights;
- publish anyone’s home address or personal phone number without permission, including information protected by Daniel’s Law;
- post fake reviews or endorsements, or misleading claims about licenses, certifications, or awards;
- include spam, keyword stuffing, malware, or hidden or unauthorized links;
- scrape, copy, or harvest data from the Site in bulk, or use automated means to access it, except search engines following our robots.txt;
- interfere with the Site’s security or operation, or try to bypass moderation, reCAPTCHA, or link removal.
We may remove content and suspend or end accounts that violate this section.
12. Third-party sites and services
Listings link to websites we do not control. We are not responsible for the content, products, services, or practices of listed businesses or other sites. Listing a business is not an endorsement. Any dealings you have with a listed business are between you and that business. Payments are handled by Stripe and subject to its terms.
13. Our content
Apart from content submitted by users, the Site’s design, text, graphics, and compilation of listings belong to VIV Digital or its licensors. You may view and share links to the Site for personal or normal business use, but you may not copy or republish the directory or substantial parts of it without our written permission.
14. Disclaimer
THE SITE AND ALL LISTINGS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” We do our best to keep the directory accurate, but listing information comes largely from businesses and users, and we do not verify all of it. TO THE FULLEST EXTENT PERMITTED BY NEW JERSEY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, and we do not promise that the Site will be uninterrupted, error-free, or free of harmful components.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY NEW JERSEY LAW:
- VIV Digital will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of business opportunity, arising from or related to the Site or these Terms.
- VIV Digital’s total liability for all claims arising from or related to the Site or these Terms will not exceed the greater of (a) the amount you paid us for the Site in the 12 months before the claim arose, or (b) $100.
These limits do not apply to liability that cannot be limited under applicable law, such as liability for fraud or for intentional or reckless misconduct.
16. Indemnity
If you submit content or use the Site in violation of these Terms or the law, you agree to defend and reimburse VIV Digital for third-party claims, losses, and reasonable legal fees that result, including claims that your listing content infringes someone’s rights.
17. Suspension and termination
- You can stop using the Site and close your account at any time by emailing [email protected] (cancel any paid subscription in My Account first).
- We may suspend or terminate your account or remove listings if you violate these Terms, if required by law, or if we discontinue the Site or a plan. If we terminate a paid subscription without cause (for example, because we discontinue a plan), we will refund the unused portion of your current billing period. If we terminate for a violation of these Terms, no refund is due.
- Sections that by their nature should survive (such as content license for removal periods, disclaimers, limitation of liability, indemnity, and governing law) survive termination.
18. Governing law and venue
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. Any dispute that is not required to be arbitrated under the arbitration agreement below, namely (a) an individual claim brought in small claims court, (b) a claim by a user who has opted out of arbitration, (c) a claim for an injunction or other equitable relief over infringement or misuse of intellectual property, and (d) a claim that the severability terms below require to be decided in court, will be brought only in the state courts located in Bergen County, New Jersey, or the United States District Court for the District of New Jersey, and you and we consent to the jurisdiction of those courts. Either party may bring an eligible claim in small claims court (Special Civil Part).
Arbitration agreement. PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. YOU AND VIV DIGITAL AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT. BY AGREEING TO THESE TERMS, YOU ARE GIVING UP YOUR RIGHT TO SUE IN COURT, YOUR RIGHT TO HAVE A JUDGE OR JURY DECIDE YOUR CLAIM (YOUR RIGHT TO A JURY TRIAL), AND YOUR RIGHT TO BRING OR TAKE PART IN A CLASS ACTION. In arbitration, a neutral arbitrator, not a judge or jury, decides the dispute, and a court’s review of the arbitrator’s decision is very limited. The only exceptions are the small claims, opt-out, and intellectual property exceptions described in this section.
Informal resolution first. Before starting an arbitration, the party with the claim must email the other party a written notice describing the claim and the relief requested. Notices to us go to [email protected]; notices to you go to the email address on your account. You and we will try in good faith to resolve the dispute informally for 30 days after the notice is received. If the dispute is not resolved within those 30 days, either party may start arbitration.
Binding individual arbitration. Except as stated in this section, any dispute, claim, or controversy between you and VIV Digital arising from or relating to these Terms, the Site, your listings, or any subscription will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect (available at www.adr.org), before a single arbitrator. The Federal Arbitration Act governs this arbitration agreement. The arbitrator may award the same individual relief a court could award, but only in favor of the individual party seeking relief and only to the extent needed to provide relief on that party’s individual claim.
Fees and hearing location. VIV Digital will pay all AAA filing, administration, and arbitrator fees beyond the amount you would have paid to file your claim in court. Any hearing will take place in Bergen County, New Jersey, or, if you prefer, by video conference or telephone.
Exceptions. Either party may bring an individual claim in small claims court (Special Civil Part) instead of arbitration, as long as the claim stays in that court and is not brought on behalf of anyone else. Either party may also go to court to seek an injunction or other equitable relief to stop infringement or misuse of its intellectual property rights.
CLASS ACTION AND JURY TRIAL WAIVER. YOU AND VIV DIGITAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT COMBINE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. YOU AND VIV DIGITAL EACH WAIVE THE RIGHT TO A TRIAL BY JURY.
30-day right to opt out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first accept these Terms. Use the subject line “Arbitration Opt-Out” and include your name, your account email, and a clear statement that you want to opt out of arbitration. If you opt out, disputes will be resolved in court as described in this section, and the rest of these Terms still apply.
Severability. If any part of this arbitration agreement is found unenforceable, the rest of it stays in effect. However, if the class action waiver is found unenforceable as to any claim or request for relief, that claim or request will be decided only in court as described in this section, not in arbitration, and any remaining claims will still be arbitrated individually.
Survival. This arbitration agreement survives the closing of your account, the end of any subscription, and the termination of these Terms.
19. Changes to these Terms
We may update these Terms from time to time. We will change the “Last updated” date at the top of this page. For material changes, we will give at least 30 days’ notice by email to account holders or by a notice on the Site before the changes take effect. Changes will not apply retroactively. If you do not agree to the changes, you may cancel before they take effect. Continuing to use the Site after that means you accept the updated Terms.
20. General
These Terms and our Privacy Policy are the entire agreement between you and us about the Site and replace any earlier terms. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a sale or reorganization of the Site. Notices to you may be sent to your account email; notices to us must go to [email protected].
